In these Terms and Conditions, the following definitions apply:
By applying for, accepting or accessing a membership to the Business Savers Club, you confirm that you have read, understood and agree to be bound by these Terms and Conditions in their entirety. If you do not agree to these Terms, you must not access or use the Club.
These Terms constitute a legally binding agreement between you and AIAI. They apply in addition to AIAI's website Terms & Conditions and Privacy Policy, which are available at allardai.com.
Where a member is accessing the Club on behalf of a company or other legal entity, that individual warrants that they have authority to bind that entity to these Terms, and references to "you" shall include that entity.
The Club currently offers the following membership tier:
AIAI reserves the right to introduce additional paid membership tiers at any time. Founding Member access will not be affected by the introduction of paid tiers during the lifetime of the original Founding Member, provided these Terms are not breached.
Membership access is granted to a single named individual. Account credentials must not be shared with any third party. Each member is responsible for all activity conducted under their account.
Founding Member guarantee: AIAI commits that Founding Members will retain full access to all content available to standard members for as long as the Club operates, at no additional cost, unless membership is terminated under Clause 12.
All Content made available through the Business Savers Club is the exclusive intellectual property of Allard International AI unless otherwise stated. This includes but is not limited to:
All Content is protected by the Copyright, Designs and Patents Act 1988 (as amended) and equivalent international copyright laws. AIAI asserts its full moral rights as author of all original Content.

Where Content includes third-party data, statistics or references (for example from ONS, GOV.UK, industry bodies or published research), appropriate attribution is given. Such third-party material remains the intellectual property of its respective owners.
As a Member, you are granted a limited, personal, non-exclusive, non-transferable licence to access and use the Content solely for the following purposes:

Breach of any prohibition in this clause will result in immediate termination of membership and may result in legal action to protect AIAI's intellectual property rights.

AIAI is a business cost reduction consultancy. While we take care to ensure the accuracy and currency of Content, the information provided:
Before acting on any information contained in Club Content, you should seek independent professional advice from a suitably qualified and regulated adviser. Nothing in Club Content creates a client relationship between you and AIAI unless a separate written engagement letter has been signed.
To the fullest extent permitted by applicable law, AIAI excludes all liability for any loss or damage arising from your use of, or reliance on, Club Content. This includes but is not limited to:
AIAI does not warrant that the Platform will be uninterrupted, error-free or free from viruses or other harmful components. Members access the Platform at their own risk.
Nothing in these Terms limits AIAI's liability for: (a) death or personal injury caused by AIAI's negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under English law, including liability under the Consumer Rights Act 2015 where applicable.
Where liability cannot be excluded, AIAI's total aggregate liability to any Member shall not exceed the total membership fees paid by that Member in the 12 months preceding the relevant claim. For Founding Members paying no fee, aggregate liability shall not exceed £100.
AIAI processes Members' personal data in accordance with UK GDPR (as retained in UK law by the European Union (Withdrawal) Act 2018), the Data Protection Act 2018, and our Privacy Policy available at allardai.com/aiai-privacy.html.
By becoming a Member, you consent to AIAI processing your personal data for the following purposes:
AIAI will not sell, rent or share your personal data with third parties for marketing purposes without your explicit consent. Where data is shared with trusted service partners (such as email platforms or event providers) it is subject to appropriate data processing agreements.
You may exercise your rights under UK GDPR (access, rectification, erasure, portability, restriction and objection) by contacting jp@allardai.com. You have the right to lodge a complaint with the Information Commissioner's Office (ICO) at ico.org.uk.
Certain Content made available through the Club may be marked as confidential or embargoed, particularly economic forecasts, pre-publication reports and partner-specific commercial intelligence. Members agree to treat all such Content as strictly confidential and not to disclose it to third parties.
The existence and contents of any personal AIAI consultation or discovery call are confidential to both parties. Neither party shall disclose the substance of such consultations without the other's prior written consent, except as required by law.
Club Content may contain links to, or descriptions of, third-party products, services or websites operated by AIAI's partner network. These are provided for Members' convenience and information only.
AIAI does not endorse, warrant or accept responsibility for any third-party products, services or content. Any transaction you enter into with a third party, including AIAI's named partners, is solely between you and that third party. AIAI accepts no liability for any loss or damage arising from such transactions.
Where AIAI receives a commercial fee or commission from a partner introduction, this will be disclosed clearly within the relevant Content. Full terms governing commission disclosure are set out in Clause 16 — Commission Disclosure.
AIAI reserves the right to suspend or terminate a membership immediately and without notice if a Member:
Upon termination, the Member's licence to access Content ceases immediately. Any Content downloaded or saved by the Member prior to termination remains subject to the restrictions in Clauses 4, 5 and 6.
A Member may cancel their membership at any time by contacting jp@allardai.com. For Founding Members, cancellation is permanent — cancelled Founding Memberships cannot be reinstated.
AIAI reserves the right to amend these Terms at any time. Material changes will be communicated to Members by email at least 30 days before taking effect. Continued use of the Club following notification of changes constitutes acceptance of the revised Terms.
AIAI reserves the right to modify, suspend or discontinue any aspect of the Club's Content or features at any time. We will use reasonable endeavours to provide advance notice of significant changes to the Club's service offering.
For Founding Members, AIAI commits that any changes to these Terms will not retrospectively remove the core entitlement to free lifetime access as defined in Clause 3, unless the membership is terminated under Clause 12.
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal or unenforceable, that provision shall be deemed severed and the remaining provisions shall continue in full force and effect.

Where AIAI provides services to a Client on a time and materials basis, the following standard day rates apply unless otherwise agreed in writing:

Day rates are reviewed annually and may be amended with 30 days’ written notice. Rates for engagements already in progress at the time of any rate change will not be increased mid-engagement without the Client’s written consent.
Expenses reasonably incurred in the performance of services (travel, accommodation, subsistence) will be invoiced at cost with supporting receipts. Expenses above £250 per item will be agreed with the Client in advance.
Note: * AIAI Business audit and analysis rates do not apply to water, gas, electricity and commercial waste audits, which are provided at zero charge to the client.
AIAI operates as an independent business cost reduction consultancy and, in certain activities facilitated through Club membership, may introduce Members to third-party service providers. In the interests of full transparency and in compliance with applicable guidance on the disclosure of commission by intermediaries and introducers, the following applies:
Independence commitment: Where partner introductions are made through Club Content or Member consultations, AIAI will always identify options on the basis of their suitability for the Member's business, regardless of whether a commission arrangement exists with any particular supplier or partner.
Members are encouraged to request full details of any applicable commission arrangement before entering into any contract with an AIAI-introduced third party.
